1. Acceptance of the Terms
By accessing or using SynvaxisApp (the "Platform", the "Service"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree with any part of these Terms, do not use the Platform. SynvaxisApp is owned and operated by Synvaxis LLC, a limited liability company organized under the laws of the State of Wyoming, United States of America, with registered address at 30 N Gould St Ste N, Sheridan, WY 82801, USA ("Synvaxis", the "Company", "we", "us", "our").
We reserve the right to modify these Terms at any time. Changes take effect upon publication on the Platform; material changes will be notified to registered users by email or by an in-Platform notice at least fifteen (15) days in advance. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.
2. Description of the Service
SynvaxisApp is an AI-powered Customer Relationship Management (CRM) platform that provides:
- Autonomous AI sales agent: Automation of sales conversations over WhatsApp using artificial intelligence.
- Contact and conversation management: Centralized organization of customer and prospect communications.
- Order management: Creation, tracking and administration of purchase orders.
- Third-party integrations: Connection to platforms such as the WhatsApp Business API, ElevenLabs, Vapi and AI providers (OpenAI, Google Gemini, Deepseek, among others).
- Marketing campaigns: Tools to create and manage segmented sales campaigns.
- AI voice notes: Audio generation and transcription using artificial-voice technology.
3. Registration and Account
3.1 Eligibility
To use the Platform you must: (a) be at least 18 years of age; (b) provide truthful, accurate and complete information during registration; (c) keep your password and account secure; and (d) immediately notify us of any unauthorized use of your account.
3.2 Account Responsibility
You are responsible for all activity that occurs under your account. Do not share your access credentials with third parties. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Acceptable Use
When using the Platform, you agree to:
- Not use the Platform to send spam, unsolicited messages or unlawful content.
- Comply with all applicable laws and regulations, including the WhatsApp Business policies and applicable data-protection rules.
- Not attempt to access systems, data or accounts for which you are not authorized.
- Not use the AI to generate misleading, fraudulent, defamatory or offensive content.
- Not reverse-engineer, decompile or disassemble any component of the Platform.
- Not interfere with the normal operation of the Platform or its servers.
- Respect the usage policies of integrated third-party APIs (Meta/WhatsApp, OpenAI, Google, etc.).
5. Artificial Intelligence and Automation
5.1 Nature of the AI Service
The Platform uses third-party artificial-intelligence models to generate responses, analyze conversations and automate interactions. AI-generated responses do not constitute professional advice and may contain inaccuracies.
5.2 User Responsibility
The user is solely responsible for the content generated and sent through their account, including content automatically generated by the AI. The user is responsible for reviewing and supervising automated interactions.
5.3 Third-Party API Keys
Users connect their own API keys from AI providers (OpenAI, Google, Deepseek, etc.). SynvaxisApp is not responsible for charges incurred through the use of those APIs nor for changes in those providers' terms of service.
6. Data and Privacy
Personal-data processing is governed by our Privacy Policy and Data Deletion Policy. By using the Platform, you consent to the data processing described in those policies.
Conversation, contact and order data belong to the end user (Synvaxis customer). Synvaxis LLC acts as a processor with respect to data the user manages through the Platform, and as a controller only with respect to data necessary to deliver the service (registration, billing, support). Synvaxis does not sell or share personal data with third parties for advertising purposes.
7. Intellectual Property
All software, design, logos, trademarks, source code, documentation and content of the Platform are the exclusive property of Synvaxis LLC and are protected by applicable U.S. federal and state law and by international intellectual-property treaties. Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, non-sublicensable and revocable license to use the Platform.
Synvaxis respects third-party intellectual-property rights. If you believe content accessible through the Platform infringes your rights, you may submit a Digital Millennium Copyright Act (DMCA) notice to gerencia@synvaxis.com with subject line "DMCA Notice" including: (i) identification of the work; (ii) identification of the infringing material; (iii) your contact details; (iv) a good-faith statement; (v) a statement under penalty of perjury; and (vi) your physical or electronic signature.
8. Payments and Subscriptions
Certain Platform services require a paid subscription. Pricing, plans and payment terms will be communicated clearly before any charge. Subscriptions renew automatically unless cancelled by the user in advance.
No refunds are issued for partial usage periods. The user may cancel the subscription at any time, and access remains active until the end of the paid period.
9. Disclaimer of Warranties and Limitation of Liability
DISCLAIMER OF WARRANTIES. To the maximum extent permitted by applicable law, the Platform is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement or accuracy. Synvaxis does not warrant that the Platform will be uninterrupted, error-free or fully secure.
LIMITATION OF LIABILITY. To the maximum extent permitted by law, in no event shall Synvaxis LLC, its officers, members, employees, affiliates or providers be liable for: (a) loss of revenue, profits, data, goodwill or business opportunities; (b) indirect, incidental, special, consequential, punitive or exemplary damages; (c) service interruptions caused by force majeure or factors beyond our reasonable control; (d) actions performed by the autonomous AI that were not adequately supervised by the user; (e) content generated by the user or by third parties. Synvaxis' aggregate liability for any claim arising out of or relating to these Terms shall not exceed the greater of: (i) the amounts actually paid by the user to Synvaxis during the twelve (12) months preceding the event giving rise to the claim; or (ii) one hundred U.S. dollars (USD 100).
INDEMNIFICATION. You agree to defend, indemnify and hold harmless Synvaxis LLC and its affiliates from any claim, loss, damage, liability, cost and expense (including reasonable attorneys' fees) arising out of: (i) your use or misuse of the Platform; (ii) your violation of these Terms or any applicable law; (iii) your violation of third-party rights; (iv) the content you transmit, generate or send through the Platform, including content generated by the AI under your account.
10. Third-Party Integrations
The Platform integrates with third-party services (WhatsApp Business API, ElevenLabs, Vapi, AI providers, e-commerce platforms). Use of those services is subject to each provider's own terms and conditions. SynvaxisApp is not responsible for the operation, availability or policy changes of third-party services.
11. Termination
We may suspend or terminate your access to the Platform in the event of a material breach of these Terms, of applicable law, of integrated platform policies (including Meta/WhatsApp), or for reasonable security reasons. Except in cases of urgency, we will provide reasonable prior notice. You may cancel your account at any time. Upon termination, your right to use the Platform will immediately cease; user data will be retained for thirty (30) days to allow export, after which it may be permanently deleted in accordance with our Data Deletion Policy.
12. Governing Law, Dispute Resolution and Jurisdiction
Governing law. These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without giving effect to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Informal resolution. Before commencing any formal proceeding, the parties agree to attempt to resolve the dispute in good faith through written communication to gerencia@synvaxis.com for a minimum period of thirty (30) days.
Binding arbitration. Any controversy, claim or dispute arising out of or relating to these Terms or to the Platform that is not informally resolved shall be finally settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Rules, with seat in Sheridan, Wyoming, USA. The arbitration shall be conducted in English or Spanish before a single arbitrator, and the award shall be final and enforceable in any court of competent jurisdiction.
Class-action waiver. You and Synvaxis agree that each party may bring claims against the other only on an individual basis and not as a plaintiff or member of a class or representative action. The arbitrator may not consolidate the claims of more than one person nor preside over any form of representative or class proceeding.
Subsidiary jurisdiction. For matters not subject to arbitration (e.g. injunctive relief in intellectual-property matters), the parties submit to the exclusive jurisdiction of the state and federal courts located in the State of Wyoming, United States.
Export. You represent that you are not located in, nor a national of, any country subject to a U.S. government embargo, and that you do not appear on any U.S. government restricted-party list.
13. General Provisions
Entire agreement. These Terms, together with the Privacy Policy and the Data Deletion Policy, constitute the entire agreement between you and Synvaxis regarding the Platform.
Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to be valid, and the remaining provisions shall remain in full force and effect.
Assignment. You may not assign these Terms without our prior written consent. Synvaxis may freely assign them in connection with a merger, acquisition, restructuring or sale of assets.
No waiver. Our failure to exercise any right under these Terms shall not constitute a waiver of that right.
Language. The English version of these Terms is the controlling version. Translations into other languages are provided for convenience; in case of conflict, the English version prevails.
